Terms of Service

Introduction

Welcome to Edje. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Sparks Technology Holdings LLC, d/b/a Edje (“Edje,” “we,” “us,” or “our”), governing your access to and use of the Edje platform, application programming interfaces (APIs), and related services (collectively, the “Service”) available at edje.io.

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Eligibility

You must be at least eighteen (18) years of age to create an account or use the Service. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you further represent and warrant that you are authorized to accept these Terms on behalf of that organization.

2. Description of Service

Edje is an AI-powered podcast platform that generates customized podcast digests and on-demand audio episodes. The Service processes inputs provided by you—including but not limited to emails, API calls, documents, newsletter content, and user-defined preferences such as industry and professional role—and uses artificial intelligence technologies, including deep research and text-to-speech, to produce personalized audio content.

The Service is provided on a software-as-a-service (SaaS) subscription basis. Specific features, functionality, and usage limits may vary by subscription tier and are described on our pricing page at edje.io.

3. Accounts and Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

For business accounts (B2B), the account holder is responsible for the actions of all authorized users within their organization who access the Service through the account holder’s subscription.

4. Subscription and Payment

4.1 Fees

You agree to pay all fees associated with your selected subscription plan as described at the time of purchase. All fees are stated in U.S. dollars and are non-refundable except as expressly provided in these Terms.

4.2 Billing

Subscriptions are billed on a recurring basis (monthly or annually, depending on your plan selection). Payment is processed through our third-party payment provider, Stripe. By providing payment information, you authorize us to charge your designated payment method for all applicable fees.

4.3 Free Trials and Promotional Access

We may offer free trials or promotional access at our sole discretion. Free trial or promotional terms may be modified or discontinued at any time. At the end of a trial period, your account will convert to a paid subscription unless you cancel before the trial expires.

4.4 Price Changes

We reserve the right to change our pricing at any time. Price changes will take effect at the start of your next billing cycle following notice of the change. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Your Content and Intellectual Property

5.1 Your Inputs

“Customer Content” means any data, text, documents, emails, files, or other materials you submit to the Service as inputs for podcast generation. You retain all ownership rights in your Customer Content.

5.2 Representation of Rights

You represent and warrant that you have all necessary rights, licenses, and permissions to submit Customer Content to the Service, including any third-party content such as newsletters, articles, or other subscription-based materials. You are solely responsible for ensuring that your use of the Service does not infringe upon or violate the intellectual property rights or other rights of any third party.

5.3 Generated Output

“Generated Output” means the podcast episodes, audio content, summaries, and other materials produced by the Service from your Customer Content and preferences. Subject to your compliance with these Terms and your active subscription, you own the Generated Output created from your Customer Content.

5.4 License to Edje

You grant Edje a non-exclusive, worldwide, royalty-free license to use, process, store, and transmit your Customer Content solely for the purpose of providing, maintaining, and improving the Service. This license terminates when you delete your Customer Content or your account is terminated, except as required by our data retention policies.

5.5 Edje Platform IP

Edje retains all ownership and intellectual property rights in and to the Service, including but not limited to the platform, AI models, algorithms, software, user interface designs, trademarks (including the Edje name and logo), and any improvements or derivative works thereof. Nothing in these Terms grants you any right, title, or interest in the Service other than the limited right to use it in accordance with these Terms.

6. Data Usage and Privacy

6.1 Service Delivery

We use your Customer Content and preferences to deliver the Service, including inferring your content preferences to generate personalized podcast episodes. This processing is essential to the core functionality of the Service.

6.2 Service Improvement

We may use anonymized and aggregated data derived from Customer Content to improve the Service, including enhancing content recommendations across our user base (for example, identifying that customers with similar profiles tend to prefer similar content). This anonymized data cannot be used to identify you or reconstruct your original Customer Content.

6.3 Opt-Out

You may opt out of having your data used for cross-customer service improvement purposes by contacting us at support@edje.io or through your account settings. Opting out will not affect the core functionality of the Service for your account, though it may limit the personalization of content recommendations.

6.4 Privacy Policy

Our collection, use, and disclosure of personal information is governed by our Privacy Policy, available at edje.io/privacy, which is incorporated into these Terms by reference.

7. Acceptable Use and Restrictions

7.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for all Customer Content you submit and all Generated Output produced from your inputs.

7.2 Prohibited Uses

You may not use the Service to:

(a) Build, operate, train, or power a competing podcast generation service or any service that is substantially similar to the Service;

(b) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying models of the Service;

(c) Sublicense, resell, or redistribute access to the Service itself to third parties;

(d) Submit Customer Content that you do not have the right to use or that infringes upon the intellectual property or other rights of any third party;

(e) Generate, distribute, or promote content that is illegal, defamatory, obscene, pornographic, or harmful, except where the content serves a legitimate professional purpose;

(f) Use the Service to generate content that impersonates real individuals without their consent or creates deliberately misleading or fraudulent information;

(g) Transmit any malware, viruses, or other harmful code through the Service;

(h) Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks;

(i) Use automated means to access the Service in a manner that exceeds reasonable usage or circumvents rate limits, unless expressly permitted through our API terms.

7.3 Content Sharing

You are permitted and encouraged to share Generated Output, including through social media platforms, within your organization, and with your clients or audiences. Sharing does not grant any third party the right to access or use the Service itself.

8. API Terms

If you access the Service through our application programming interfaces (APIs), the following additional terms apply:

8.1 API Access

API access may be subject to separate usage limits, rate limits, and authentication requirements as described in our API documentation at edje.io/docs/api. We reserve the right to modify API specifications, endpoints, and rate limits at any time with reasonable notice.

8.2 API Keys

API keys are confidential and must not be shared, published, or embedded in client-side code. You are responsible for all activity conducted using your API keys. Compromised keys should be revoked and regenerated immediately.

8.3 API Use Restrictions

All restrictions set forth in Section 7 (Acceptable Use and Restrictions) apply to API usage. Additionally, you may not use the API to build automated systems that circumvent usage limits, scrape or harvest data from the Service, or create derivative products that replicate the core functionality of the Service.

9. Beta and Early Access Features

We may offer beta, preview, or early access features (“Beta Features”) that are not yet generally available. Beta Features are provided “as is” and “as available” without warranty of any kind. We may modify, suspend, or discontinue Beta Features at any time without notice or liability. Beta Features may contain bugs, errors, or other issues, and you use them at your sole risk.

Feedback you provide regarding Beta Features may be used by Edje without restriction or compensation to improve the Service.

10. AI-Generated Content Disclaimer

THE SERVICE USES ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING TECHNOLOGIES TO GENERATE CONTENT. AI-GENERATED CONTENT MAY CONTAIN INACCURACIES, ERRORS, OMISSIONS, OR OUTDATED INFORMATION. EDJE DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY GENERATED OUTPUT.

You acknowledge and agree that:

(a) Generated Output is produced by AI and should not be relied upon as professional, legal, medical, financial, or other expert advice;

(b) You are solely responsible for reviewing, verifying, and determining the appropriateness of any Generated Output before use or distribution;

(c) Edje shall not be liable for any claims, damages, or losses arising from your reliance on Generated Output.

11. Third-Party Services

The Service utilizes third-party artificial intelligence providers and other technology services to deliver its functionality. These third-party services are subject to their own terms of service and privacy policies. Edje is not responsible for the availability, accuracy, or performance of third-party services. Your use of the Service is subject to applicable third-party terms, which Edje may update from time to time.

12. Termination

12.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting support@edje.io. Upon cancellation, your subscription will remain active through the end of your current billing period. After your subscription expires, your account will be deactivated and your Customer Content will be retained for thirty (30) days, after which it will be permanently deleted.

12.2 Termination by Edje

We reserve the right to suspend or terminate your account immediately and without refund if we reasonably believe that you have violated these Terms, including but not limited to the Acceptable Use restrictions in Section 7. We may also terminate accounts that have been inactive for an extended period with prior notice.

12.3 Effect of Termination

Upon termination, your right to access and use the Service ceases immediately (or at the end of your billing period, in the case of voluntary cancellation). Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 5 (Intellectual Property), 10 (AI Disclaimer), 13 (Limitation of Liability), 14 (Indemnification), and 16 (Dispute Resolution).

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EDJE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

EDJE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO EDJE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Edje and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

(a) Your use of the Service or any Generated Output;

(b) Your Customer Content, including any claims that your Customer Content infringes or violates the intellectual property or other rights of any third party;

(c) Your violation of these Terms; or

(d) Your violation of any applicable law or regulation.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. EDJE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

16. Dispute Resolution

16.1 Governing Law

These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of laws principles.

16.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or related to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in the State of Washington. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

16.3 Class Action Waiver

YOU AND EDJE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

16.4 Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court’s jurisdictional limits.

17. California Consumer Privacy Notice

If you are a California resident, you may have additional rights under the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA). These rights may include the right to know what personal information we collect, the right to request deletion of your personal information, the right to opt out of the sale or sharing of your personal information, and the right to non-discrimination for exercising your privacy rights.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email at the address associated with your account at least thirty (30) days before the changes take effect. The updated Terms will also be posted at edje.io/terms with a revised effective date.

Your continued use of the Service after the effective date of any modified Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue use of the Service before the changes take effect.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable subscription order forms, constitute the entire agreement between you and Edje with respect to the Service and supersede all prior agreements and understandings.

19.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

19.3 Waiver

The failure of Edje to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

19.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without the prior written consent of Edje. Edje may assign these Terms without restriction.
